PBFS and Advertiser agree herein to the
following terms:
1. The Advertiser will supply in writing to PBFS the full
details of the Advertiser's business for sale, including asking price, any
available payment terms, income and expenses of the business for the current
year and the preceding two years (if available), number of business
employees, detailed business description, photo's of the business,
complete physical business address/location of the advertised business, and photocopies of DTI
(Philippines Dept. of Trade and Industry) business name
registration, business trademark registration (if any), mayor's
permit, BIR (Philippines Bureau of Revenue) registration certificate, and any other relevant business
licenses, permits, and business information that would be helpful in the
sale of the business.
2. PBFS will create one or more Advertiser web pages
for
www.philippinebusinessesforsale.com, and PBFS will continually
publish and promote the Advertiser web page(s) on the website until the Advertiser's
business has been successfully sold and paid for. The Advertiser page(s)
will NOT include the business name, precise business address location, any
other identifying information, or the
owner's contact information.
Instead, the only identifying information to be published on the
Advertiser's web page(s) will be a four-digit Advertiser code number, which
will be used by prospective buyers to inquire about the business for sale.
3. When a prospective buyer (website visitor) is
interested in contacting the Advertiser or in obtaining more details about
the business for sale from
the Advertiser, the prospective buyer will contact PBFS by email or FAX.
PBFS will then: (1) log (record) the prospective buyer's name and full contact
information, plus the prospective buyer's interest in the Advertiser's
business; (2) assign a four-digit Buyer code number to the prospective
buyer; and then (3) email the Buyer code number and the Buyer's name and full
contact information to the Advertiser. The Advertiser will then respond by
email, phone, or FAX to the prospective Buyer. The Advertiser and the Buyer will
negotiate directly with one another about the possible sale of the
Advertiser's business to the Buyer. If the Advertiser and the Buyer enter
into an oral or written agreement for the sale
of the Advertiser's business to the Buyer, the Advertiser
agrees that it will promptly inform PBFS of the sales agreement by email or
fax. The Buyer will separately also inform PBFS about the sales
agreement.
4. When the Advertiser receives payment (in full or in
installments) from the Buyer for the sale of the Advertiser's business, the
Advertiser will pay to PBFS a FIVE PERCENT (5%) ADVERTISING COMMISSION on
each and every payment amount received from
the Buyer within five (5) business days after the receipt of the Buyer's
purchase funds. The Advertiser will pay PBFS by either direct deposit (or bank wire) to the PBFS bank account in
the Philippines. If the Buyer fails to pay the advertising commission to
PBFS within the above specified five business days, interest at an annual
rate of twenty percent (20%) on the unpaid payment(s) will accrue in favor
of PBFS. If PBFS needs to sue the Advertiser to collect any unpaid
advertising commissions and accrued interest, the Advertiser agrees to
pay all attorney fees and court costs incurred by PBFS in collecting said
debts. Any litigation between PBFS and the Advertiser shall originate in the
Regional Trial Court, Dumaguete, Oriental Negros, Philippine, unless PBFS
elects to due the Advertiser in the Regional Trial Court in which the sold
business is located, or in which the Advertiser is located.
5. This agreement is the entire statement of all terms
of the relationship and agreement terms between PBFS and the Advertiser. Any
oral representations or agreements that are not specifically encompassed in
the wording of this agreement are null and void.
